1. Introduction & Acceptance

Welcome to i Assists™ ("Platform," "we," "us," or "our"), an expert marketplace platform operated by i Assists™ (OPC) Private Limited, a company incorporated under the laws of India.

By accessing or using our Platform, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Platform.

2. Definitions

• "Expert" means a verified professional registered on the Platform to offer consultation services.
• "User" means any individual who accesses the Platform to seek expert consultations.
• "Services" means all services offered through the Platform including consultations, bookings, and communications.
• "Credits" means the virtual currency used on the Platform for transactions.
• "Content" means all text, images, videos, and other materials uploaded to the Platform.

3. Eligibility & Age Restriction

To use our Platform, you must:

• Be at least 18 years of age (or 13+ with parental consent for Teaching & Tutoring only)
• Be legally capable of entering into binding contracts under Indian law
• Not be barred from using the Platform under any applicable laws
• Provide accurate and complete registration information
• For Experts: Hold valid professional credentials and licenses as required by Indian law

3B. Call & Chat Privacy

• No Recording: Voice and video calls are NOT recorded by the platform. Your conversations are private.
• Phone Number Privacy: Your phone number is never shared with experts or other users. All calls are routed through our platform.
• Chat Messages: Chat messages are stored securely. You can request deletion at any time.
• Third-Party Recording Prohibited: Users and experts are strictly prohibited from recording, screenshotting, or sharing consultation content without written consent from both parties. Violation results in immediate account termination.

3C. Refund & Dispute Resolution

• Auto-Refund: If an expert does not respond within 5 minutes of a scheduled consultation, credits are automatically refunded.
• Dispute Resolution: Raise a dispute within 48 hours. Our team will review and resolve within 7 business days.
• Credit Refunds: Unused credits can be refunded within 30 days of purchase, minus consumed credits.
• No Cash Refunds: Refunds are processed as platform credits unless required by law.

4. Account Registration & Security

4.1 Registration: You must create an account to access certain features. You agree to provide accurate, current, and complete information during registration.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use.

4.3 One Account Policy: Each User may maintain only one account. Multiple accounts may result in termination.

5. Platform Services

5.1 Marketplace: i Assists™ provides a platform connecting Users with verified Experts. We are an intermediary and do not directly provide professional services.

5.2 No Professional Advice: Information on the Platform does not constitute professional advice. Users should independently verify all advice received.

5.3 Service Availability: We strive to maintain Platform availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance.

6. Expert Obligations

Experts on the Platform agree to:

• Maintain valid professional licenses and registrations
• Provide accurate information about qualifications and experience
• Deliver services professionally and ethically
• Comply with all applicable professional regulations
• Not engage in any fraudulent or misleading practices
• Maintain confidentiality of User information
• Pay applicable platform commissions and taxes

7. User Obligations

Users agree to:

• Use the Platform only for lawful purposes
• Provide accurate information when seeking consultations
• Respect Expert time and honor scheduled appointments
• Not record consultations without explicit consent
• Pay for services as agreed
• Not circumvent the Platform for direct transactions

8. Payments & Credits

8.1 Credit System: Users purchase Credits to book consultations. Credit prices are displayed at the time of purchase.

8.2 Payment Processing: Payments are processed through secure third-party payment gateways. We do not store complete payment card details.

8.3 Expert Payouts: Experts receive payouts after deduction of platform commission, subject to our payout schedule and policies.

8.4 Taxes: All applicable taxes (GST, TDS) will be deducted as per Indian tax laws.

9. Intellectual Property

9.1 Platform IP: All Platform content, trademarks, logos, and software are owned by i Assists™ (OPC) Private Limited and protected under Indian intellectual property laws.

9.2 User Content: You retain ownership of content you upload but grant us a license to use, display, and distribute such content on the Platform.

10. Limitation of Liability

To the maximum extent permitted by Indian law, i Assists™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

11. Indemnification

You agree to indemnify and hold harmless i Assists™, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By User: You may terminate your account at any time by contacting support.

12.2 By Platform: We may suspend or terminate accounts for violation of these Terms, fraudulent activity, or any reason at our discretion with notice.

12.3 Effect: Upon termination, your right to use the Platform ceases. Unused Credits may be refunded subject to our Refund Policy.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Nellore, Andhra Pradesh, India.

14. Dispute Resolution

14.1 Mediation First: Any dispute shall first be attempted to be resolved through mediation.

14.2 Arbitration: If mediation fails, disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Nellore, Andhra Pradesh.

15. Amendments

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification at least 15 days before they take effect. Continued use after changes constitutes acceptance.
